MOONSTERS ARCADE TERMS OF USE

These Terms of Use (“Terms”) govern your access to and use of Moonsters Arcade, including the Flappy Moon game and any other games, accounts, wallet-connected features, paid in-game purchases, free-to-play contests, token or NFT rewards, websites, content, features, and services made available by Moonsters DAO LLC (“Moonsters,” “Company,” “we,” “us,” or “our”) in connection with Moonsters Arcade (collectively, the “Services”).

By accessing or using Moonsters Arcade or any of the Services, creating an account, connecting a wallet, making a purchase, or participating in a contest or promotion, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, do not access or use Moonsters Arcade or the Services.

1. RELATIONSHIP TO THE EULA, PRIVACY POLICY, AND CONTEST RULES

These Terms govern your use of the Moonsters Arcade Services. The Moonsters Arcade End User License Agreement (“EULA”) separately governs the license granted to you to download, install, access, and use the Moonsters Arcade software application. The Moonsters Arcade Privacy Policy explains how information is collected, used, stored, and disclosed in connection with the Services.

Certain contests, promotions, games, rewards, purchases, or features may also be subject to additional rules or terms presented to you when you use or participate in that feature. Those additional rules or terms form part of your agreement with Moonsters DAO LLC for the applicable feature.

If there is a conflict between these Terms and more specific terms that apply to a particular feature, contest, promotion, or transaction, the more specific terms will control for that feature, contest, promotion, or transaction. The EULA will control with respect to the license to use the Moonsters Arcade software.

2. ELIGIBILITY

You may use Moonsters Arcade only if you are legally permitted to enter into these Terms and use the Services under the laws applicable to you.

If you are under the age of legal majority in your jurisdiction, your parent or legal guardian must review and agree to these Terms on your behalf where required by applicable law. Certain features, purchases, contests, promotions, digital-asset rewards, or wallet-connected functionality may be subject to additional age, geographic, eligibility, or legal restrictions.

You are responsible for ensuring that your access to and use of Moonsters Arcade complies with all laws, rules, and regulations that apply to you.

3. ACCOUNTS AND ACCOUNT SECURITY

Moonsters Arcade may require or permit you to create an account in order to access certain Services or features.

You agree to provide accurate information where information is requested and to maintain the confidentiality and security of your account credentials. You are responsible for activity occurring through your account to the extent permitted by applicable law.

You may not access or use another person’s account without authorization, impersonate another person or entity, create accounts through unauthorized automated means, or create or use accounts for fraudulent, abusive, or prohibited purposes.

You should promptly contact us if you believe your account or credentials have been compromised. We may require reasonable verification before restoring, changing, or providing information about an account.

4. WALLET CONNECTIONS AND BLOCKCHAIN FEATURES

Certain Moonsters Arcade Services may allow or require you to connect a compatible digital wallet or interact with a public blockchain network.

When you connect a wallet, you remain responsible for the wallet you choose to use, its security, and any private keys, seed phrases, passwords, authentication methods, or other credentials associated with that wallet. Unless expressly stated otherwise for a specific service, Moonsters DAO LLC does not control your third-party self-custodial wallet or its private keys.

You should never provide your private key or seed phrase to Moonsters DAO LLC or enter it into Moonsters Arcade.

By approving a blockchain transaction through your wallet, you authorize the transaction presented to you. Blockchain transactions may be irreversible after submission or confirmation, and Moonsters DAO LLC generally cannot reverse, cancel, recover, or modify a completed blockchain transaction.

Public blockchain activity may be visible to others. Public wallet addresses, transaction identifiers, token transfers, NFT transfers, smart-contract interactions, and other on-chain information may be publicly accessible and may remain publicly available indefinitely.

5. PAID IN-GAME PURCHASES

Moonsters Arcade may offer optional paid in-game purchases, digital content, virtual items, features, access, credits, or other products or services.

The price and available payment method for a purchase will be displayed or otherwise disclosed before you authorize the transaction. Depending on the feature, purchases may be processed through a third-party payment provider, digital wallet, blockchain network, app platform, or other supported payment method.

You are responsible for purchases you authorize through your account or connected wallet and for any applicable network, transaction, processor, platform, or other fees disclosed in connection with the purchase.

Unless otherwise stated at the point of sale or required by applicable law, purchases of digital items or consumable in-game content are final and non-refundable once delivered, used, consumed, or recorded.

In-game items, credits, features, or other digital content have no guaranteed cash value, resale value, or exchange value unless Moonsters Arcade expressly states otherwise in writing.

6. FREE-TO-PLAY CONTESTS AND PROMOTIONS

From time to time, Moonsters Arcade may operate free-to-play contests, challenges, promotional events, or similar activities that provide eligible participants with an opportunity to receive prizes or rewards.

A purchase is not required to participate in or win a Moonsters Arcade contest that is expressly designated as free-to-play.

Each contest or promotion may be subject to separate official rules or supplemental terms. Those rules may establish eligibility requirements, geographic restrictions, age requirements, entry periods, gameplay or participation requirements, winner-selection criteria, prize descriptions, reward amounts, wallet requirements, delivery procedures, deadlines, disqualification conditions, and other contest-specific terms.

Participation does not guarantee a reward. You must satisfy all applicable contest requirements and may be required to provide a compatible wallet address or complete reasonable verification steps before a prize or reward can be delivered.

Contests and promotions are void where prohibited or restricted by applicable law.

7. TOKEN, NFT, AND DIGITAL-ASSET REWARDS

Certain free-to-play contests or promotions may provide eligible participants with cryptocurrency tokens, non-fungible tokens (“NFTs”), digital collectibles, or other digital assets as prizes or rewards.

Unless separate written terms applicable to a particular reward expressly state otherwise:

• a token, NFT, or other digital-asset reward is provided as a promotional, collectible, utility, or game-related reward and is not a promise of profit or financial return;

• Moonsters DAO LLC does not guarantee that any token, NFT, or digital asset will have or retain monetary value;

• Moonsters DAO LLC does not guarantee any secondary market, liquidity, listing, buyer, seller, exchange, or resale opportunity;

• receiving a token, NFT, or other digital asset does not create an ownership interest, equity interest, debt interest, profit-sharing right, or other ownership right in Moonsters DAO LLC; and

• nothing made available through Moonsters Arcade constitutes investment, financial, tax, or legal advice.

You are responsible for determining and satisfying any tax obligations that may apply to prizes, rewards, purchases, transfers, or digital assets you receive, hold, use, or transfer.

8. FAIR PLAY, CONTEST INTEGRITY, AND PROHIBITED CONDUCT

You agree to use Moonsters Arcade fairly, lawfully, and in accordance with these Terms, the EULA, and any applicable contest or promotion rules.

You may not:

• use cheats, bots, automation, exploits, unauthorized scripts, modified clients, or other methods intended to manipulate gameplay, scores, rankings, contest results, rewards, purchases, eligibility, or Service functionality;

• create or use multiple accounts or wallets to circumvent entry limits, reward restrictions, account restrictions, eligibility requirements, or other rules;

• attempt to obtain purchases, refunds, credits, tokens, NFTs, rewards, prizes, or other benefits through fraud, manipulation, unauthorized transactions, chargeback abuse, or exploitation of errors;

• bypass, disable, interfere with, or attempt to defeat security, access-control, anti-cheat, payment, wallet, contest, or integrity measures;

• interfere with, disrupt, damage, overload, or gain unauthorized access to Moonsters Arcade, its servers, networks, systems, accounts, smart contracts, databases, or related services;

• introduce, distribute, or transmit malware, viruses, malicious code, or other harmful technology;

• misrepresent your identity, affiliation, eligibility, location, or relationship with Moonsters DAO LLC, Solana Mobile, or any third party;

• use Moonsters Arcade to infringe or violate the intellectual property, privacy, publicity, contractual, or other rights of another person or entity; or

• use Moonsters Arcade for unlawful, fraudulent, abusive, threatening, hateful, sexually explicit, exploitative, dangerous, or otherwise prohibited activity.

We may investigate suspected violations and may restrict, suspend, disqualify, or terminate accounts, entries, access, rewards, or participation when reasonably necessary to protect Moonsters Arcade, our users, contests, systems, or third parties, or to enforce these Terms and applicable rules.

9. ERRORS, EXPLOITS, AND INCORRECT REWARDS

Moonsters Arcade may occasionally experience technical errors, display errors, scoring errors, pricing errors, reward errors, or other unintended behavior. You may not knowingly exploit an error or vulnerability for personal gain or to obtain an unintended advantage.

If a reward, purchase, score, balance, item, or other benefit is issued or displayed as the result of an obvious technical or administrative error, Moonsters DAO LLC may correct the error to the extent reasonably possible and permitted by applicable law. Blockchain transactions that have already been completed may not be reversible.

10. THIRD-PARTY SERVICES, WALLETS, AND NETWORKS

Moonsters Arcade may interact with or provide access to third-party wallets, blockchain networks, smart contracts, payment providers, websites, software, platforms, services, advertisements, or other content.

Third-party services are governed by their own terms, privacy policies, fees, availability, and practices. Moonsters DAO LLC does not control and is not responsible for the operation, security, availability, accuracy, content, or practices of third-party services.

Your use of a third-party service is at your own discretion and may require your acceptance of separate terms. Network congestion, blockchain outages, wallet failures, third-party service interruptions, or other events outside our reasonable control may delay or prevent transactions, purchases, or reward delivery.

11. INTELLECTUAL PROPERTY

Moonsters Arcade, Flappy Moon, the Moonsters brand, and all related software, graphics, artwork, characters, designs, interfaces, logos, names, trademarks, sounds, music, text, game mechanics, visual elements, documentation, and other content made available by Moonsters DAO LLC are owned by or licensed to Moonsters DAO LLC and are protected by intellectual property and other applicable laws.

Except for rights expressly granted under the Moonsters Arcade EULA or other written terms provided by Moonsters DAO LLC, these Terms do not grant you any ownership interest or other rights in Moonsters Arcade, Flappy Moon, the Moonsters brand, or any related intellectual property.

Ownership of a token or NFT, if any, does not by itself transfer ownership of Moonsters Arcade, Flappy Moon, Moonsters DAO LLC trademarks, copyrights, source code, artwork, or other proprietary rights unless separate written terms expressly provide otherwise.

12. FEEDBACK AND SUGGESTIONS

If you voluntarily provide ideas, suggestions, comments, bug reports, feature requests, or other feedback regarding Moonsters Arcade, you grant Moonsters DAO LLC permission to use, reproduce, modify, adapt, publish, distribute, and otherwise use that feedback for any lawful purpose without restriction or compensation to you, except where prohibited by applicable law.

13. PRIVACY

Your use of Moonsters Arcade is subject to the Moonsters Arcade Privacy Policy, which explains how information is collected, used, stored, and disclosed in connection with the Services.

Depending on how you use Moonsters Arcade, information associated with your use may include account information, device and usage information, purchase or transaction information, public wallet addresses, public blockchain transaction information, contest participation information, and reward-delivery information.

Because public blockchains are publicly accessible and may be immutable, information recorded on a public blockchain may remain publicly available even if you later delete your Moonsters Arcade account or stop using the Services.

14. ELECTRONIC COMMUNICATIONS

By creating an account or using Moonsters Arcade, you consent to receive service-related electronic communications from us where permitted by law, such as account notices, security alerts, transaction or reward information, policy updates, and other operational communications.

Marketing communications, where offered, will be handled in accordance with applicable law and the choices made available to you.

15. SOLANA MOBILE dAPP STORE

If you download or access Moonsters Arcade through the Solana Mobile dApp Store, these Terms are between you and Moonsters DAO LLC, not Solana Mobile.

Moonsters DAO LLC, and not Solana Mobile, is responsible for Moonsters Arcade, its accounts, purchases, contests, rewards, support, and the Services provided by Moonsters DAO LLC, except to the extent otherwise required by applicable law or the applicable Solana Mobile terms.

Your use of the Solana Mobile dApp Store is also subject to the terms and policies made available by Solana Mobile. Nothing in these Terms states or implies that Solana Mobile sponsors, endorses, owns, operates, guarantees, or is responsible for Moonsters Arcade, its contests, purchases, or rewards.

16. SERVICE AVAILABILITY, CHANGES, AND UPDATES

We may add, remove, modify, update, suspend, restrict, or discontinue games, features, contests, rewards, integrations, content, functionality, or portions of Moonsters Arcade at any time for maintenance, security, legal, technical, business, network, or other reasons.

We do not guarantee that Moonsters Arcade or any particular feature, game, wallet integration, purchase system, blockchain network, contest, reward, or service will always be available, uninterrupted, error-free, or compatible with every device, wallet, network, browser, or operating system.

17. SUSPENSION AND TERMINATION

You may stop using Moonsters Arcade at any time. You may also delete your account where an account-deletion feature is made available, subject to information that may need to be retained or that cannot be removed from public blockchains.

We may restrict, suspend, or terminate your account or access to some or all of the Services if you materially violate these Terms, the EULA, applicable contest rules, or applicable law; misuse the Services; manipulate purchases, contests, or rewards; create a security or legal risk; or where restriction, suspension, or termination is otherwise reasonably necessary to protect Moonsters DAO LLC, our users, systems, contests, or third parties.

Termination or suspension does not automatically reverse completed purchases or blockchain transactions and does not require Moonsters DAO LLC to recover or transfer digital assets from a wallet controlled by you.

18. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MOONSTERS ARCADE AND THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOONSTERS DAO LLC DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND QUIET ENJOYMENT.

WE DO NOT WARRANT THAT THE SERVICES, WALLET CONNECTIONS, PAYMENT SYSTEMS, BLOCKCHAIN NETWORKS, CONTESTS, REWARDS, OR THIRD-PARTY SERVICES WILL ALWAYS BE AVAILABLE, SECURE, UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT DEFECTS WILL ALWAYS BE CORRECTED.

Some jurisdictions do not allow certain warranty disclaimers, so some of the above limitations may not apply to you.

19. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MOONSTERS DAO LLC AND ITS AFFILIATES, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, PROFITS, REVENUE, GOODWILL, BUSINESS OPPORTUNITY, DIGITAL ASSETS, OR OTHER INTANGIBLE LOSSES ARISING FROM OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, MOONSTERS ARCADE OR THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF MOONSTERS DAO LLC FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID DIRECTLY TO MOONSTERS DAO LLC THROUGH MOONSTERS ARCADE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

20. INDEMNIFICATION

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Moonsters DAO LLC and its affiliates, members, managers, officers, employees, contractors, agents, licensors, and service providers from claims, liabilities, damages, losses, and reasonable costs and expenses arising from or relating to your violation of these Terms, your unlawful or unauthorized use of the Services, your manipulation or abuse of contests or rewards, or your infringement of the rights of another person or entity.

21. GOVERNING LAW

Except where applicable law requires otherwise, these Terms will be governed by the laws of the United States of America and the State of Wyoming, without regard to conflict-of-law principles.

Nothing in these Terms limits any consumer rights or protections that cannot lawfully be waived under the laws applicable to you.

22. CHANGES TO THESE TERMS

We may update these Terms from time to time to reflect changes to Moonsters Arcade, its games, account systems, wallet functionality, purchases, contests, rewards, our practices, applicable law, or other operational requirements.

When we make changes, we will update the “Last Updated” date at the top of this page. Where required by applicable law, we will provide additional notice or request renewed acceptance.

Your continued use of Moonsters Arcade after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.

23. SEVERABILITY AND NO WAIVER

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect to the maximum extent permitted by law.

If Moonsters DAO LLC does not enforce a provision of these Terms in a particular instance, that does not waive our right to enforce that provision or any other provision in the future.

24. ENTIRE AGREEMENT

These Terms, together with the Moonsters Arcade EULA, Moonsters Arcade Privacy Policy, applicable contest or promotion rules, and any additional terms expressly presented to you in connection with a specific feature, purchase, reward, or service, constitute the agreement between you and Moonsters DAO LLC regarding your use of the Moonsters Arcade Services.
